1 Scope of Application
- 1.1 Swisscom Directories AG (hereinafter also “directoriesDATA”) operates, among other things, the websites search.ch and local.ch. These websites include directory entries for private individuals and companies based on data from the “Public Directories” (pursuant to Art. 12d TCA). These Terms of Use for the Application Programming Interface (hereinafter “API”) “multisource•api” govern the use of the API in addition to the applicable Legal Notices for the use of Swisscom Directories AG websites (“Legal Notices”). In the event of any conflict between the Legal Notices and these Terms of Use, the provisions of these Terms of Use shall prevail.
- 1.2 General terms and conditions of the customer are expressly excluded.
- 1.3 directoriesDATA reserves the right to amend these Terms of Use at any time.
2 Services of directoriesDATA
- 2.1 directoriesDATA provides the customer with access to the published directory data of Swisscom Directories AG via API.
- 2.2 Using the Call Lookup function, the customer can submit a telephone number to the multisource•api (query), which produces a match if that number is found in the directory data.
- 2.3 If a match is produced, the API returns as a response the name, address, and telephone number (including advertising star) of the person or company listed in the directory.
- 2.4 The customer may submit any number of queries to the API; however, the contents of a match are only returned if the monthly match quota of the product plan selected by the customer has not yet been exhausted.
- 2.5 The customer may at any time upgrade or downgrade to a product plan with a higher or lower match quota, effective at the end of the month.
3 General Provisions on API Access / Customer Obligations
- 3.1 The customer must apply to directoriesDATA for use of the API, providing their full company name, first and last name, street and house number, postal code, city, email address, and telephone number. The customer is obligated to immediately notify directoriesDATA of any changes to the information provided.
- 3.2 After the application has been submitted and the information (or any changes) have been verified, directoriesDATA will send the customer an order confirmation including an API key. The API key identifies the customer and grants access to the published directory data.
- 3.3 Each customer receives a single API key. Sharing the API key with third parties is only permitted after the third party has been disclosed to and confirmed in writing by directoriesDATA. Use of the API key for any other purpose is not permitted.
- 3.4 The monthly usage quota per customer is determined by the product plan selected by the customer, which releases a defined number of matches per month.
- 3.5 The customer is solely responsible for the equipment and infrastructure required to access and use the API. The customer is also solely responsible for data transmission and must procure or develop the software necessary for such access and use.
- 3.6 directoriesDATA may make technical or commercial changes with a notice period of 6 months. directoriesDATA may also block or terminate a customer’s API access in the event of unauthorized use or non-payment of invoices.
4 Permitted Uses
- 4.1 The customer is permitted to carry out the following uses:
- Identification of the caller
- Display of the information contained in the entries of the caller
- Search and display of entries
- Storage of an entry in company-internal systems; in this case, the customer becomes the data controller for such data within the meaning of the Swiss Federal Act on Data Protection, and directoriesDATA does not act as a processor of such data.
- Use of transmitted and/or stored entries for internal company purposes.
- 4.2 All forms of API use must include the following attribution: “Swisscom Directories AG”
5 Prohibited Uses
- 5.1 All uses of the API and/or entries not expressly listed under Section 4 are prohibited, in particular:
- Use for any form of online directories (including mobile applications), voice information services, or similar
- Production of any form of offline or print directories
- Any form of disclosure of transmitted and/or stored entries to third parties (excluding technical service providers such as cloud service providers)
- Any form of enabling third parties to use transmitted and/or stored entries (excluding technical service providers such as cloud service providers)
- Use of entries for immoral or unlawful purposes
- Technically unnecessary automated bulk queries, e.g. for building or updating address databases
- Use of transmitted data for active outbound marketing purposes (e.g. cold calling, direct mailing), unless separate consent from the data subject has been obtained or an existing customer relationship exists
- 5.2 The customer undertakes to fully comply with all applicable legal provisions when using the API, in particular the Swiss Federal Act on Data Protection (FADP) and the Federal Act against Unfair Competition (UCA).
6 Prices and Data Volumes
- 6.1 The prices payable by the customer for use of the multisource•api are set out in the order confirmation.
- 6.2 The data volumes used (matches) are continuously recorded by the multisource•api system and used by directoriesDATA to invoice the customer for the services rendered.
- 6.3 All prices stated in the order confirmation are exclusive of domestic or foreign taxes or levies (in particular excluding value added tax). Communication costs are to be borne entirely by the subscriber.
- 6.4 directoriesDATA is entitled at any time to adjust the prices and tiers set out in the order confirmation with 3 months’ notice. In such case, the customer is entitled to terminate the contractual relationship with one month’s notice, effective on the date the adjustment enters into force. If no termination is made within this period and by that date, the adjustments shall be deemed accepted by the customer.
- 6.5 The usage evaluations generated by the systems of directoriesDATA are authoritative for determining the quantities relevant for billing.
7 Payment Terms
- 7.1 Invoices are issued on a monthly basis.
- 7.2 The payment period for multisource•api invoices is 30 days.
- 7.3 If payment of an invoice is not made within the payment period pursuant to Section 7.2, the customer is in default. In such case, the service provider is entitled to set a grace period of 20 days in writing on two occasions. If the invoice is still not paid in full within the second grace period, the service provider is entitled, without further notice, to suspend its services entirely and to block the subscriber’s access to the multisource•api platform. The subscriber waives the right to offset its own claims against invoices of the service provider.
- 7.4 If the customer is in default of payment of a monetary obligation, default interest of 5% per annum is owed.
8 Liability of directoriesDATA
- 8.1 directoriesDATA is liable for direct damages caused by intent or gross negligence. Liability for slight negligence is expressly excluded.
- 8.2 Liability cap: In any event, the liability of directoriesDATA per loss event is limited to the amount of the remuneration owed by the customer for the relevant month. Any liability for consequential damages, indirect damages, data loss, or loss of profit is entirely excluded.
- 8.3 Nature of the service: The customer acknowledges that the service is designed as a supporting information tool (e.g. to supplement missing CRM entries). directoriesDATA does not warrant the accuracy, timeliness, or completeness of the data provided and accepts no liability for decisions or transactions made by the customer on the basis of such data.
- 8.4 In particular, directoriesDATA is not liable for:
- Claims by the customer for unlimited continuation or uninterrupted availability of the service;
- Damages caused by misuse of the connection or interference by third parties (e.g. viruses, hacking attacks);
- Errors caused by network providers or the customer’s infrastructure;
- Force majeure.
9 Ownership and Intellectual Property Rights
- 9.1 The customer acknowledges that directoriesDATA owns all rights and intellectual property rights in the directory entries and the API.
- 9.2 Use of the API does not grant the customer any license rights or any other intellectual property rights in directoriesDATA, the entries, or the API. The permission granted under these Terms of Use is non-exclusive, and directoriesDATA is entitled at any time to grant usage rights to third parties.
10 Entry into Force, Amendments, and Termination
- 10.1 These Terms of Use enter into force on the date of the order confirmation from directoriesDATA.
- 10.2 The Terms of Use are terminated by notice of termination.
- 10.3 The multisource•api service may be terminated by either party with one month’s notice, effective at the end of a month. Without termination, the contract is automatically renewed for the same contract term.
- 10.4 The usage restrictions pursuant to Section 5 remain in force after termination of this contract.
- 10.5 Amendments or additions to the Terms of Use are only valid if agreed upon in writing by both parties. This also applies to the removal of this written form requirement.
- 10.6 Without the prior written consent of directoriesDATA, the customer is not entitled to assign or transfer the contractual relationship as a whole or individual claims thereunder to third parties.
- 10.7 Should individual provisions of the contract be incomplete, legally invalid, or unenforceable for legal reasons, the validity of the remainder of the contract shall not be affected. In such a case, the contracting parties shall agree on a provision that replaces the relevant provision with an effective provision that is as economically equivalent as possible.
11 Applicable Law and Place of Jurisdiction
- 11.1 The contractual relationship between the parties is governed by Swiss law, with the exception of the substantive rules of private international law and the provisions of the Vienna Sales Convention (United Nations Convention on Contracts for the International Sale of Goods, concluded in Vienna on 11 April 1980).
- 11.2 The exclusive place of jurisdiction for all disputes is Zurich. For customers with a foreign domicile or registered office, Zurich shall apply as the place of enforcement and as the exclusive place of jurisdiction for all proceedings.
- 11.3 In the event of ambiguities or discrepancies in translated texts, the German version shall prevail.
